“FOUNDERS PRICE” Terms & Conditions for the MATRIARCH Program

Founder pricing reflects early enrollment in an evolving Program. By enrolling at the Founder rate, you acknowledge that certain aspects of the container may develop or change over time, as outlined in this Agreement (including distinctions between deliverables, bonuses, and gifts).

By purchasing the MATRIARCH Program, you (“Client”) agree to the following terms with Kate Juniper (“Coach”).

1. Nature of Coaching & Client Responsibility
-MATRIARCH is a twelve-month, high-touch 1:1 somatic coaching mentorship designed to support embodied transformation and nervous system regulation.
-The Program includes two (2) 75-minute somatic coaching sessions per month, along with the additional services outlined in Section 3.
-Coaching is educational and supportive in nature. It is not therapy, psychotherapy, psychiatric care, medical treatment, or mental health care. The Coach does not diagnose, treat, or cure any mental or physical health conditions.
-Somatic and embodiment practices are self-directed. The Client understands they are voluntarily engaging in these practices and assumes full responsibility for their physical, emotional, and psychological wellbeing.
-If the Client is currently under medical or mental health care, they agree to consult their provider as appropriate before participating.
-The Client agrees that participation is voluntary and that they are solely responsible for their own decisions, actions, and outcomes.
-The Coach makes no claims of clinical nervous system “rewiring” and does not guarantee specific psychological, relational, financial, creative, or health outcomes.
-The Coach is not liable for actions, inactions, injuries, or consequences resulting from participation in this Program.

2. Confidentiality
-All information shared during sessions is confidential, except where disclosure is required by law (e.g., risk of harm, illegal activity).
-The Coach may reference anonymized client scenarios for educational, professional development, podcasting, or marketing purposes. Identifying details will never be shared without written consent.
-Any documentation required for professional credentialing will not include session content.

3. Program Inclusions
Note on Program Start Date:The Program is intended to begin on the start date listed on the applicable sales page at the time of purchase. The Coach reserves the right to delay the Program start date by up to one (1) calendar month if necessary. Such delay shall not constitute a breach of this Agreement or entitle the Client to cancellation, refund, or compensation.
-The twelve (12) month Program term will begin on the Actual Start Date, defined as the date of the Client’s first scheduled session (whether attended or not).
Program Deliverables
-Twelve (12) months of 1:1 somatic coaching
-Two (2) 75-minute somatic coaching sessions per month
-Review of your submitted materials ahead of calls (maximum 2 hours per session; unused review time cannot be banked or rolled over)
-Tuesday–Thursday access to the Coach via voice notes (responses provided within approximately 48 business hours; this access is not crisis support)
-Monthly WHOLE WOMAN audio/PDF teaching
-Monthly WHOLE WOMAN embodiment playlist
-Monthly WHOLE WOMAN guided practice

Bonuses (Non-Transferable & Non-Refundable Once Delivered):
Bonuses are subject to availability and may be substituted with items of equal value at the Coach’s discretion. Digital bonuses are considered delivered once access is granted.
-SOUL MAP and SOUL CALENDAR (valued at $999)
-Lifetime access to the WHOLE WOMAN self study course material (fully downloadable)
-The Sacred Dissidents’ Handbook (currently valued at $77)
Participation is by invitation only and subject to separate terms and conditions and not guaranteed.

Gifts (Discretionary & Not Guaranteed):
The following items are offered as goodwill gifts with full intention of their delivery. However they are not included as guaranteed components of the Program. Gifts are not contractual deliverables and are not included in the purchase price. Gifts are components still in development, and as such may be modified, delayed, or substituted at the Coach’s discretion. Failure to provide a Gift shall not constitute a breach of this Agreement or entitle you to any refund, credit, or compensation.
-Complimentary membership to the first year-long live WHOLE WOMAN group cohort (2027) (estimated value $1,100)
-Optional monthly hour long group call for live embodiment and connection, plus access to private MATRIARCH group chat.

4. Client Commitments
To receive the full benefit of MATRIARCH, you agree to:
-Attend scheduled sessions or provide appropriate notice for rescheduling
-Complete agreed-upon integration practices and somatic exercises
-Submit materials for review in advance of sessions when applicable
-Communicate responsibly regarding emotional or physical responses to practices
-Actively participate in the coaching process
Failure to uphold these commitments may impact your results. Repeated missed sessions or lack of engagement may result in suspension or termination of services at the Coach’s discretion without refund (see Section 8).

5. Rescheduling & Pauses
Standing Session Schedule
-Coaching session days and times are established during the pre-purchase call and are reserved for the duration of the twelve (12) month Program. These standing session times are fixed. If an ongoing, non-negotiable scheduling conflict arises requiring a permanent change, the Coach will make reasonable efforts to accommodate an adjustment, subject to availability. Certain scheduling boundaries are firm and non-negotiable (including, but not limited to, no weekend sessions and no sessions scheduled after 5:00 PM). The Coach also reserves the right to request a reasonable adjustment to session timing if necessary.
Individual Session Rescheduling
-Each party may reschedule up to four (4) sessions during the twelve-month period. A minimum of forty-eight (48) hours’ notice is required to reschedule a session. Sessions cancelled with less than 48 hours’ notice, or missed without notice, will be deemed forfeited and will count toward the rescheduling limit.
-If the Client reschedules more than four (4) sessions, one session will be forfeited for each additional reschedule.
-Rescheduled sessions must be used within the active Program period and may not be carried beyond the twelve-month term unless part of an approved Program pause.
Program Pause
-In the event of a significant personal crisis, the Client may request a one-time pause of up to three (3) months (must be submitted in writing to the Coach). Upon resumption, the Program timeline will be extended to ensure the Client receives the full twelve (12) months of active coaching. Resumption timing remains subject to the Coach’s availability.
-In cases of significant and extenuating hardship extending beyond the initial pause period (including medical, family, or financial emergencies), additional pauses or alternative arrangements may be considered at the Coach’s sole discretion. Any approved modifications must be confirmed in writing.

6. Refunds, Cancellations & Chargebacks
-24-Hour Cancellation: You may cancel within 24 hours of purchase for a refund, minus a 5% transaction fee and the full retail value of any digital products or bonuses for which access has already been granted.
-Pre-Start Cancellation (After 24 Hours): For cancellations made after 24 hours of purchase but prior to the Actual Start Date (as defined in Section 3), a non-refundable $2,500 administrative and preparation fee will be retained, in addition to the retail value of any digital products or bonuses delivered prior to the Actual Start Date.
-Post-Start Cancellation: Once the Program has begun (on the Actual Start Date), no refunds will be issued except in cases of termination (see Section 8) or at the Coach’s sole discretion under exceptional circumstances.
-Payment Plan Responsibility: If enrolled in a payment plan, the Client remains financially responsible for the full Program fee regardless of participation level unless otherwise agreed in writing.
-No Chargebacks: By purchasing, you agree that all sales are final beyond the stated refund options. You waive the right to dispute or reverse charges with your credit card issuer or bank except where legally required. Any chargeback attempts will be formally disputed, and you will be responsible for resulting fees, legal costs, or damages.

7. Payment Terms
-The MATRIARCH Program fee is as stated on the sales page at the time of purchase, payable in full or via an agreed payment plan.
-Late payments incur a $25/day fee, up to $500, after which the Program may be terminated.
-Services may be suspended for overdue balances until payment is resolved.
-Unpaid accounts may be referred to collections, and the Client is responsible for any associated collection or legal fees.
-Program dates are secured only after the first payment is received.
-Sales tax will be applied at checkout where required.

8. Termination
-The Coach may terminate your participation should you display inappropriate, dangerous, or disruptive behavior, or repeatedly fail to engage with Program requirements.
-Remaining sessions may or may not be refunded at the Coach’s discretion.
-If you cancel after 24 hours of purchase, refunds will not be provided except under the terms outlined in Section 6.

9. Intellectual Property & Indemnity
-All materials, teachings, practices, and methods remain the intellectual property of Kate Juniper.
-You may not copy, distribute, reproduce, resell, or share materials without written permission.
-You agree to indemnify and hold harmless the Coach from any claims (including legal fees) arising from your use of Program materials or participation in practices.

10. Liability & Guarantees
-The Coach makes no guarantees regarding specific emotional, relational, financial, creative, or health outcomes.
-Somatic regulation and embodied transformation are individualized processes and results vary.
-The Client agrees that their sole remedy for dissatisfaction with the Program is a refund if eligible under Section 6.
-The Client waives the right to seek further compensation, damages, or claims beyond what is expressly provided in this Agreement.
-Limitation of Liability: In no event shall the Coach’s total liability to the Client for any reason related to this Program exceed the total Program fee paid by the Client. The Client agrees that this limitation applies to all claims, including but not limited to claims of negligence, breach of contract, or misrepresentation.

11. Digital Products & Bonuses
-All digital content and bonuses are for personal use only and may not be shared, duplicated, or resold.
-Digital products and bonuses are considered delivered and non-refundable once access is granted. If you cancel prior to the Actual Start Date, the retail value of any digital products or bonuses to which you have had access will be deducted from your refund, in addition to the non-refundable portion outlined in Section 6.

12. Force Majeure
-The Coach is not liable for delays or failure to perform services due to events beyond her reasonable control, including illness, natural disasters, strikes, or technology failures.
-In such cases, services will be rescheduled or paused as appropriate.

13. Dispute Resolution
-Any disputes will first be addressed through good faith negotiation and, if necessary, mediation in Quebec, Canada, before either party pursues further legal remedies.
14. Governing Law & Final Agreement
-These Terms & Conditions are governed by the laws of Quebec, Canada.
-This Agreement constitutes the full and final agreement between the parties and supersedes all prior agreements.
-Any modifications must be made in writing and agreed upon by both parties.
